Terms & Conditions for Website & Software

1. Acceptance of Terms
By accessing our websites, apps, and services (collectively, the “Services”), you agree to these Terms & Conditions (“Terms”). If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” also means that organization.

2. Changes to the Terms
We may update these Terms. Material changes will be posted with a new “Effective Date.” Continued use after changes means you accept them.

3. Eligibility
You must be at least 13 (or older where required by law). If you are in the EEA/UK, you must be at least 16 or have verifiable parental consent.

4. Accounts; Trials and Demos
You may create an account or submit information for demos, free trials, or follow-up. You must provide accurate information and keep credentials confidential. You’re responsible for activity under your account.

5. License and Access
Subject to these Terms and payment of applicable fees, we grant you a limited, revocable, non-transferable, non-exclusive license to access and use the Services for your internal business purposes. We reserve all other rights.

6. Acceptable Use
You will not (and will not permit others to):

  • reverse engineer, decompile, or attempt to extract source code;

  • interfere with or disrupt the Services;

  • use the Services to create or disseminate malware, spam, or content that is illegal, infringing, harmful, or violates privacy rights;

  • misrepresent your identity or affiliation;

  • use automated means (scrapers, bots) without our prior written consent;

  • exceed granted usage limits, or circumvent rate limits or security controls.


7. AI Outputs; Your Responsibilities
Our Services may generate AI outputs (“Outputs”) from your inputs, data, or prompts (“Inputs”). You are responsible for reviewing Outputs for accuracy and compliance with law and your policies before using them. Outputs may be probabilistic, incomplete, or incorrect; they are provided “as is” and are not legal, medical, financial, or professional advice.

8. Your Content & Feedback
You retain ownership of Inputs and any non-Coffee Cup content you provide (“Your Content”). You grant Coffee Cup a worldwide, royalty-free license to host, process, and display Your Content as needed to provide and improve the Services and to comply with law. If you submit feedback, you grant us a perpetual, irrevocable, royalty-free license to use it without restriction.
Model/Service Improvement. We may use de-identified and aggregated telemetry to improve performance, safety, and reliability. Where required, we will obtain consent or provide opt-out mechanisms. See the Privacy Policy for details and choices.

9. Third-Party Services
The Services may link to or integrate third-party products (e.g., analytics, cloud hosts, model providers). Your use of those is governed by their terms. We are not responsible for third-party services.

10. Beta & Free Features
Beta or free features are provided “as is,” may change or be discontinued at any time, and may be subject to additional terms.

11. Fees & Taxes
If you purchase paid Services, you agree to pay fees, taxes, and charges described at checkout or in an order form. Except where prohibited by law or stated otherwise, fees are non-refundable.

12. Confidentiality & Security
Each party may access the other party’s confidential information. Each will protect the other’s confidential information with reasonable care and use it only for the relationship under these Terms.

13. IP Ownership
Coffee Cup and its licensors own the Services, including software, models, and documentation. Except for the limited license in Section 5, no rights are granted by implication or otherwise.

14. DMCA / Copyright Complaints
If you believe content infringes your copyright, send a notice to: [DMCA Agent Name], [Address], [dmca@coffeecup.ai], with: (i) identification of the work and material claimed to be infringing; (ii) contact info; (iii) a good-faith statement; (iv) a statement under penalty of perjury; and (v) your signature. We may remove or disable content and, if appropriate, terminate repeat infringers.

15. Export, Sanctions & Anti-Corruption
You must comply with U.S. and international export laws and sanctions. You represent that you are not barred by such laws. You agree to comply with applicable anti-bribery and anti-corruption laws.

16. Disclaimers
THE SERVICES AND OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, OR UNINTERRUPTED, OR THAT OUTPUTS WILL BE ACCURATE OR COMPLETE.

17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COFFEE CUP AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, COVER, OR PUNITIVE DAMAGES; OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY YOU TO US FOR THE SERVICES IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) $100.

18. Indemnification
You will indemnify and hold Coffee Cup harmless from claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from Your Content, your use of the Services, or your breach of these Terms.

19. Governing Law; Dispute Resolution
These Terms are governed by the laws of [State/Country], without regard to conflicts principles.
Binding Arbitration & Class Action Waiver. Any dispute will be resolved by binding arbitration administered by [Arbitration Provider] under its rules. No class actions or class arbitrations. You may opt out within 30 days of first acceptance by sending written notice to [legal@coffeecup.ai].
20. Termination
We may suspend or terminate your access at any time for any reason or no reason, including for breach. You may stop using the Services at any time. Sections that by their nature should survive (e.g., ownership, confidentiality, disclaimers, limitation of liability) will survive termination.
21. Miscellaneous
These Terms are the entire agreement and supersede prior agreements. If any provision is unenforceable, the remainder remains in effect. We may assign these Terms; you may not assign without our written consent. No waiver is effective unless in writing.
